ICS uses the information provided on our order forms and client information forms to complete the information on the required state and federal forms. ICS is not a law firm and neither ICS nor any of its employees provide legal services or legal advice. Further, no representations or warranties express or implied, are given regarding the legal or other consequences resulting from the use of our services or forms.

ICS, its agents, representatives and employees specifically disclaim any warranty beyond the limited warranty stated above, whether express or implied, including the implied warranties of merchantability and fitness for purpose. Under no circumstances will ICS, its advisors, agents, representatives and employees are liable or responsible for any damage or inconvenience caused or alleged to be caused by the use of our services. ICS liability relating to any product or service shall be strictly limited to the amount paid to and received by ICS for such product or service. ICS shall not be liable for special, indirect or consequential damages, including lost profits, even if it has been advised of the possibility of such damages, arising from any cause whatsoever, including negligence.

ICS provides an online legal & accounting services portal to give visitors a general understanding of the law, as well as to provide an automated software solution to individuals who choose to prepare their own legal documents. To that extent, the site publishes general information on legal issues commonly encountered. ICS's document service also includes a review of your answers for completeness, spelling and grammar, as well as internal consistency of names, addresses and the like. At no time do we review your answers for legal sufficiency, draw legal conclusions, provide legal advice or apply the law to the facts of your particular situation. At no time is an attorney-client relationship fostered or created through the performance of any such services.

This site is not intended to create any attorney or CPA - Client relationship, and by using ICS, no attorney or CPA - client relationship will be created with ICS. Instead, you are representing yourself in any legal or accounting matter you undertake through ICS's service.

Privacy Policy – ICS respects your privacy and permits you to control the treatment of your personal information. A complete statement of ICS's current privacy policy can be found at privacy policy. ICS's privacy policy is expressly incorporated into this Agreement by reference. When you open an account to use or access certain portions of the ICS website or service, you must complete the registration process by providing the complete and accurate information requested on the registration form. You will also be asked to provide a user name and password. You are entirely responsible for maintaining the confidentiality of your password. You may not use the account, username, or password of someone else at any time. You agree to notify ICS immediately of any unauthorized use of your account, user name or password. ICS shall not be liable for any loss that you incur as a result of someone else using your password, either with or without your knowledge. You may be held liable for any losses incurred by Company, its affiliates, officers, directors, employees, consultants, agents, and representatives due to someone else's use of your account or password.

Ownership – This Site is owned and operated by ICS Inc. All right, title and interest in and to the materials provided on this Site, including but not limited to information, documents, logos, graphics, sounds, and images (the "Materials") are owned either by ICS or by its respective third party authors, developers, or vendors ("Third Party Providers"). Except as otherwise expressly provided by ICS, none of the Materials may be copied, reproduced, republished, downloaded, uploaded, posted, displayed, transmitted, or distributed in any way and nothing on this Site shall be construed to confer any license under any of ICS's intellectual property rights, whether by estoppel, implication, or otherwise. Fee Terms & Conditions –

Company Formation Orders – ICS liability is limited only to amounts paid to ICS except as outlined in our guarantee for specified formation services. If you are not satisfied with our service please contact our customer service department at ics@mybizfiler.com. If you are seeking a stronger guarantee it is recommended that you contact an attorney. If an order is cancelled after payment has been taken by ICS but before a preliminary name check has been completed, ICS will refund the total order amount less a $50 processing fee. If the order is cancelled after the preliminary name check has been completed but before the formation documents have been sent to state for processing, ICS will refund the total amount of the order less a $75 processing fee provided that the formation document is not already filed with the state. Money paid to ICS that has already been paid to the state for filing fees or to any suppliers is not refundable. If an order is cancelled after payment has been taken from ICS but before reinstatement has started, ICS will refund the total order amount less a $50 processing fee. If an order is cancelled after reinstatement research is completed, ICS will refund the total order amount less a $110 cancellation fee.

Initial / Annual Report Orders – ICS Annual Report/Statement Filing System is designed to allow ICS to file the Annual Report/Annual Statement for your business. By opting for our registered agent service and authorizing ICS to act as your agent to complete and submit this report filing. Under Registered agent services, ICS does not provide tax advice, accounting services or federal or state income tax return filing services. Our service is designed for the Annual Report/Statement only and should not serve as a substitute for accounting advice from an accountant for your federal or state taxes.

Fees Services – Fees for services will be charged as per the price catalog displayed on the web or agreed upon specifically with the client. Fees may be subject to change at any time, and such changes will be final only upon approval from the client unless otherwise stated in any other document signed between ICS and the client.

If a month to month service order is cancelled after payment has been taken by ICS, but before any attempt is made to file your Initial or Annual Report, a full refund less $ 25 processing fees will be issued.  If we are unable to file your Initial or Annual Report due to your entity’s current status with the state, ICS will refund the total order amount less a $25.00 processing fee.  In case of services contract greater than a month (quarterly, yearly etc) cancellation of service before the contract period, ICS shall not be obligated to refund any part of fees received.

Delivery method – As a part of our Going Green Initiative (to reduce paper waste in the workplace), all documents to be sent to the clients as per our services agreement, are sent via email. It is the customer’s responsibility to keep a valid e-mail on file with ICS in order to receive documentation. To opt out of paperless service, please contact our customer service team.  You will be responsible for the $15 shipping fee for each document served upon your company that is not delivered electronically.

Payment Terms – To ensure uninterrupted service, our customers on services contract longer than 1 month are automatically enrolled in ICS autopay program. This program allows ICS to charge a credit card for renewal of the service. The renewal charge is the current published rate for service.

One month before the payment card is charged, ICS sends a reminder of the upcoming renewal. Recipients of the reminder can contact ICS to provide an alternative payment method. If ICS does not hear from the recipient before the renewal date, the service subscription is auto-renewed for one year and the payment card is charged. In the event that ICS does not receive payment, they reserve the right to terminate the service, which may cause a business to fall out of good standing with the state.

In all situations, ICS liability is limited only to amounts paid to ICS. If you are not satisfied with our service please contact our customer service department.

Returned Checks – A $25 fee will be added to all checks returned to ICS due to non-sufficient funds or closed accounts. In addition, a bank service fee will be charged on these checks.

Limited Permission to Download – ICS hereby grants you permission to download, view, copy and print the Materials on any single, stand-alone computer solely for your personal, informational, non-commercial use and provided that (i) the copyright and trademark notice appearing below appears in such Materials, (ii) the Materials are not used on any other Web site or in a networked computer environment and (iii) the Materials are not modified in any way. This permission terminates automatically without notice if you breach any of these terms or conditions. Upon termination, you will immediately destroy any downloaded or printed Materials. Any unauthorized use of any Materials contained on this Site may violate copyright laws, trademark laws, the laws of privacy and publicity and communications regulations and statutes.

Links to Third Party Sites – This Site may contain links to Web sites controlled by parties other than ICS (the "Third Party Sites"). ICS works with a number of partners and affiliates whose sites are linked with ICS. ICS makes no guarantees about the content or quality of the products or services provided by such sites. ICS is not responsible for webcasting or any other form of transmission received from any Third Party Site. If ICS's technical staff finds that files or processes belonging to a member pose a threat to the proper technical operation of the system or to the security of other members, ICS reserves the right to delete those files or to stop those processes. If the ICS technical staff suspects a user name is being used by someone who is not authorized by the proper user, ICS may temporarily disable that user's access in order to preserve system security. In all such cases, ICS will contact the member as soon as feasible.

ICS reserves the right to refuse service to anyone and to cancel user access at any time.

The use of your ICS user account for any illegal activity under the laws of Illinois and the United States is a violation of these Terms of Use. Since the law as to jurisdiction of online systems is unsettled, we urge you to consider the possible effect of laws outside ICS's locality or your own residence. ICS is open to members worldwide (and works published on the World Wide Web, Usenet, or other such services are accessible to anyone on the Internet), and ICS cannot guarantee that you won't run into legal trouble from other jurisdictions over your posting.

You agree to help protect your account and the security of other users by guarding your password. If you have reason to believe your password has been compromised or there has been any unauthorized use of your account, contact ICS via E-MAIL as soon as possible.

Indemnification – You agree to defend, indemnify and hold harmless ICS, its officers, directors, shareholders, employees and agents from and against any and all claims, liabilities, damages, losses or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of the Site and the Materials.

Unsolicited Submissions – ICS does not want you to submit confidential or proprietary information to it through this Site. All comments, feedback, information or material submitted to ICS through or in association with this Site shall be considered non-confidential and ICS's property.
